Welcome to AtPost Portal by Amsler Labs LLC ("AtPost", "we", "us", or "our"). These Terms of Service ("Terms", "Agreement") govern your access to and use of our healthcare training platform, applications, and services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
IMPORTANT MEDICAL DISCLAIMER
This platform provides educational and training tools for healthcare professionals. It is NOT intended for direct patient care, clinical decision-making, or emergency medical situations. Always follow established clinical protocols and consult with qualified medical professionals.

1. Acceptance of Terms
By accessing or using the Platform, you represent and warrant that:
- You have read, understood, and agree to be bound by these Terms
- You have read and agree to our Privacy Policy
- You meet all eligibility requirements stated in Section 3
- You will comply with all applicable laws and regulations
- All information you provide is accurate, current, and complete
If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Medical Disclaimer
READ THIS SECTION CAREFULLY
Educational Purpose Only: This Platform provides educational and training content for healthcare professionals. It is intended for skill development, continuing education, and professional advancement.
Not Medical Advice: The Platform does NOT provide medical advice, diagnosis, or treatment. Content should not be used as a substitute for professional medical judgment or clinical protocols.
Not for Direct Patient Care: The Platform is not designed, intended, or approved for use in direct patient care, emergency situations, or clinical decision-making.
Simulated Data Only: All training scenarios use de-identified, simulated, or educational case studies. No actual patient data is used or collected.
Professional Responsibility: You remain solely responsible for all clinical decisions and patient care. Always follow your organization's protocols, policies, and procedures.
Certification and Accreditation
Unless explicitly stated otherwise:
- Training provided on this Platform may not be accredited for continuing education (CE) credits
- Completion of training does not guarantee certification or licensure
- You are responsible for verifying CE credit eligibility with your licensing authority
- Certificates of completion (if provided) are for documentation purposes only
Emergency Situations
IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. DO NOT USE THIS PLATFORM FOR EMERGENCY ASSISTANCE.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age (or 13-17 with parental/guardian consent and supervision)
- Be a healthcare professional, student, or educator in a healthcare-related field
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Platform under applicable laws
- Not have been previously banned from the Platform
We reserve the right to verify your eligibility and professional credentials at any time.
4. Account Registration and Security
Account Creation
To access the Platform, you must create an account by providing:
- A valid email address
- Your full name
- A secure password meeting our security requirements
- Professional role or job title
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use or security breach
- Ensuring your password meets HIPAA-compliant security standards
- Logging out after each session on shared computers
Account Restrictions
You may not:
- Share your account credentials with others
- Create multiple accounts for the same person
- Use another person's account without permission
- Sell, transfer, or assign your account to others
- Create accounts using automated means or false information
5. Acceptable Use Policy
Prohibited Activities
You may not use the Platform to:
- Violate Laws: Engage in illegal activities or violate applicable laws
- Infringe Rights: Violate intellectual property, privacy, or other rights
- Distribute Malware: Upload viruses, malware, or malicious code
- Abuse Systems: Attempt to gain unauthorized access, bypass security, or disrupt services
- Scrape Data: Use automated tools to extract data without permission
- Misrepresent Identity: Impersonate others or misrepresent your credentials
- Harass Others: Engage in harassment, hate speech, or abusive behavior
- Commercial Misuse: Resell, redistribute, or commercially exploit Platform content without authorization
- Reverse Engineer: Decompile, reverse engineer, or attempt to extract source code
Content Standards
If the Platform allows user-generated content, you agree not to post:
- Actual patient data or Protected Health Information (PHI)
- False, misleading, or inaccurate medical information
- Content that violates professional ethics or standards
- Offensive, obscene, or inappropriate material
- Spam, advertisements, or promotional content (unless authorized)
Enforcement
Violation of this Acceptable Use Policy may result in:
- Warning or account suspension
- Immediate account termination without refund
- Reporting to relevant authorities
- Legal action to recover damages
6. Intellectual Property Rights
Our Intellectual Property
All content, features, and functionality on the Platform, including but not limited to:
- Software, applications, and source code
- Text, images, graphics, logos, and videos
- Training materials, scenarios, and assessments
- Trademarks, service marks, and trade names
- Design, layout, and user interface
...are owned by AtPost Portal by Amsler Labs LLC or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Platform for personal or internal business purposes
- View and interact with training content
- Download materials explicitly marked as downloadable
Restrictions
You may not:
- Reproduce, duplicate, copy, or resell any portion of the Platform
- Modify, create derivative works, or adapt Platform content
- Remove copyright, trademark, or other proprietary notices
- Use our trademarks without prior written permission
User Content
If you submit content to the Platform (e.g., feedback, suggestions), you grant us a worldwide, perpetual, royalty-free license to use, reproduce, modify, and distribute such content for Platform improvement and marketing purposes.
7. Subscriptions and Payment
Subscription Tiers
The Platform offers multiple subscription tiers:
- Free Tier: Limited access to select training applications
- Paid Tiers: Full access to premium features and applications
- Organization/Enterprise: Custom pricing and features for organizations
Billing
For paid subscriptions:
- Subscriptions are billed in advance on a recurring basis (monthly or annually)
- You authorize us to charge your payment method on each billing cycle
- Prices are subject to change with 30 days' notice
- You are responsible for all applicable taxes
- Payment information is processed securely by third-party payment processors
Cancellation and Refunds
- You may cancel your subscription at any time from your account settings
- Cancellations take effect at the end of the current billing period
- No refunds are provided for partial billing periods
- Free trials must be canceled before the trial period ends to avoid charges
- Refund requests for extenuating circumstances will be reviewed on a case-by-case basis
Payment Failures
If a payment fails:
- We will attempt to process payment again
- Your access may be temporarily suspended until payment is resolved
- Your account may be terminated after repeated payment failures
8. Platform Availability and Modifications
Service Availability
We strive to maintain high availability, but:
- We do not guarantee uninterrupted or error-free service
- The Platform may be unavailable due to maintenance, updates, or technical issues
- We are not liable for any downtime or service interruptions
- We will provide advance notice of planned maintenance when possible
Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Platform at any time
- Add, remove, or change features and content
- Update software and applications
- Change pricing for future subscriptions
Material changes affecting paid features will be communicated with reasonable notice.
9. Termination
Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in Settings
- Contacting us at [email protected]
Upon termination, your access will cease and your data will be deleted in accordance with our Privacy Policy.
Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your account is used for fraudulent or illegal activities
- You fail to pay for subscription services
- We are required to do so by law
- We discontinue the Platform
Effects of Termination
Upon termination:
- Your right to access and use the Platform immediately ceases
- No refunds will be provided for prepaid subscription fees
- Provisions that by their nature should survive (e.g., indemnification, limitations of liability) will remain in effect
- Audit logs may be retained for 6+ years for HIPAA compliance
10. Limitation of Liability
Important Legal Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATPOST PORTAL BY AMSLER LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
- THIRD-PARTY CONDUCT OR CONTENT ON THE PLATFORM
- ANY MEDICAL DECISIONS OR PATIENT OUTCOMES INFLUENCED BY PLATFORM USE
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Platform will be error-free, secure, or uninterrupted
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that defects will be corrected
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless AtPost Portal by Amsler Labs LLC and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
- Any content you submit or transmit through the Platform
- Any medical decisions or patient care influenced by Platform use
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
12. Dispute Resolution and Arbitration
Informal Resolution
Before filing a formal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
Binding Arbitration
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for infringement of intellectual property rights.
Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Texas, and the arbitrator's decision will be final and binding.
Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Exceptions
Either party may bring a lawsuit in court in the following situations:
- To enforce or protect intellectual property rights
- To seek injunctive or equitable relief
- For disputes that qualify for small claims court
13. Governing Law and Jurisdiction
These Terms and any disputes arising out of or related to the Platform shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
To the extent arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Texas.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top
- We will notify you via email or prominent notice on the Platform
- Changes take effect 30 days after notification (or immediately for legal/security reasons)
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Platform and may terminate your account.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and AtPost Portal by Amsler Labs LLC.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
